Terms and Conditions for Paid Events

General Terms and Conditions for the Purchase of Trainings conducted by Avnet EMG GmbH

1. Scope

The following general terms and conditions of business regulate the contractual relationship between Avnet EMG GmbH (“Avnet”) and the participant in training course (the “Course”). Any deviating general terms and conditions of the participant shall have no effect.

2. Registration / Prerequisites

The Participant shall register via the internet, by letter, fax, email and by giving the company name and address and his/her name. Each registration only becomes binding after its acceptance by Avnet. It is the responsibility of the Participant to ensure that the participants meet the prerequisites of the Course on which they are booked, and that the course content meets their requirements.

3. Services

The Course fee is charged per person and per Course and is exclusive of any travel and accommodation. The fee includes Course documentation, meals/beverages provided by Avnet during breaks. Avnet reserves the right to change the date of the Course and/or modify Courses by e.g. replacing speakers if circumstances require and to make necessary changes to the programme, while preserving the overall content of the Course. The participants shall be notified without delay in the event of a cancellation due to force majeure, the indisposition of a speaker, problems arising at the venue or an insufficient number of delegates. Cancellation due to an insufficient number of delegates is at the discretion of Avnet and the Participant shall be informed no later than two weeks prior to the Course. Under such circumstances the Course fee shall be fully refunded. No claims for reimbursement of travel expenses and accommodation costs, or for compensation due to lost working time, shall be accepted unless such costs are the result of grossly negligent or wilful behaviour on the part of Avnet. In the Course of any disruptions arising to its services, Avnet shall take all reasonable steps to remedy the disruption and to limit any possible damage.

4. Due date and payment, default of payment, compensation

The Course fee shall be due 14 days after the invoice has been issued. If the participant is in default of payment, Avnet shall be entitled to demand late payment interest to the amount of 5% above the base lending rate p.a. as per Section 247 (1) and Section 288 (1) of the German Civil Code (BGB). However, the participant shall have the right to prove that no damage has been caused or that the said damage is considerably less than that being claimed by Avnet.

5. Cancellation

If the participant cancels the course after receiving their payment informaton, the full attendance fee shall be due. Refunds are excluded. 

6. Copyrights

All our Course documents are protected by copyright. Participants are only granted simple, non-transferrable rights of usage for personal purposes. Participants and third parties are not permitted to copy an make them available to third parties, e.g. to release them to the public, to post them on the internet or on any other network, whether for payment or not, to imitate them, sell them on or use them in any way for commercial purposes.

7. Liability

The Courses shall be carefully prepared and conducted by qualified speakers, who may be sub-contractors or partners of Avnet. Avnet assumes no liability for actuality, accuracy and completeness in regard to the Course documents and the staging of the Course. The promotional information concerning the Courses, their contents, services and prices shall be for information purposes only and do not form any part of a contract. Avnet reserves the right to make any reasonable variations, including the content, without notice. Liability for errors, misprints, and omissions shall be excluded. Avnet’s total liability for any loss or damage shall not exceed the price payable for the Course. Avnet shall not be liable howsoever caused for indirect or consequential loss including but not limited to: loss of profits; loss of revenue; loss of goodwill; loss of data; failure to achieve savings. Nothing in these general terms and conditions shall exclude or limit Avnet’s liability for (i) death or personal injury caused by negligence, (ii) fraudulent misrepresentation or (iii) any other matter which under the applicable law may not be limited or excluded.

8. Export / Import 

Certain information and related technology are subject to export control regulations of the United States, the European Union, and/or other countries, excluding boycott laws ("Export Laws"). Participant shall comply with such Export Laws and obtain any license or permit required to transfer, export, re-export or import the Information and related technology. Participant shall not export or re-export the Information and related technology to any country or entity to which such export or re-export is prohibited, including any country or entity under sanction or embargoes administered by the United States, European Union or other countries. Participant shall not use the Information and related technology in relation to chemical, biological or nuclear weapons, rocket systems (including ballistic missile systems, space launch vehicles and sounding rockets) or unmanned air vehicles capable of delivering same, or in the development of any weapons of mass destruction.

9. Applicable law

Place of jurisdiction and place of performance German law shall apply to the exclusion of the UN Convention on the International Sale of Goods. It is agreed that Munich, Germany shall be the place of performance and jurisdiction, as far as the participant is a company.

10. Consumer’s right of cancellation

Participants who are considered to be consumers under the applicable law and whose registration does not relate to either their commercial or their independent professional activity have the right to cancel the registration in writing, without giving a reason, within 14 days of receipt of the confirmation of registration. No cancellation fee will be charged. To meet the cancellation deadline a notice of withdrawal should be sent as soon as possible to the following address: Avnet EMG GmbH, Gruber Str. 60 C-D, 85586 Poing, Germany. This right of cancellation shall automatically expire if the booked Course has already taken place and the participant has attended it.

11. Confidentiality

Each party shall keep the other party’s Confidential Information strictly confidential and not use it otherwise than for the purposes of these terms and conditions, and shall return it on demand and not retain copies of it. Either party may disclose Confidential Information to its legal and other advisors for the purposes of obtaining advice from them. This clause shall continue notwithstanding termination of these terms and conditions.

12. Data Protection

Customer shall collect, process and transfer all personal data in connection with this Agreement in accordance with the applicable privacy laws and regulations as laid down in the Directive 95/46/EC of the European Parliament or as of May 2018 the General Data Protection Regulation (2016/679) (GDPR).

13. General

(1) The unenforceability or invalidity of any of these terms or conditions will not affect the remainder of the terms or conditions.
(2) Participant shall comply with all applicable laws, including anticorruption laws such as U.S. Foreign Corrupt Practices Act and UK Bribery Act.
